The Carbon Sink Terms and Conditions

This Agreement sets out the terms and conditions governing the provision and use of the Services.

BY USING THE CARBON FLOWAPP (INCLUDING THE WEBSITE), THE CUSTOMER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, AS AMENDED PURSUANT TO SECTION 11(k). IF THE CUSTOMER DOES NOT AGREE, THEY MUST IMMEDIATELY CEASE USING THE CARBON FLOWAPP. THE CUSTOMER REPRESENTS AND WARRANTS THAT THEY HAVE THE LEGAL CAPACITY TO ENTER INTO THIS BINDING AGREEMENT. IF YOU ARE USING THE CARBON FLOWAPP ON BEHALF OF ANOTHER PERSON OR ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THEM TO THIS AGREEMENT.

THE SaaS SERVICES MAY NOT BE ACCESSED FOR THE PURPOSE OF MONITORING AVAILABILITY, PERFORMANCE, OR FUNCTIONALITY, OR FOR ANY OTHER BENCHMARKING OR COMPETITIVE PURPOSES.

The Carbon Sink SaaS Services

• sublicense, sell, lease, assign, or distribute the Carbon FlowApp or its Intellectual Property Rights except to Authorized Users;

• use the Carbon FlowApp to offer outsourced or commercial services;

• access or use the Carbon FlowApp in violation of applicable law, in a way that compromises its security, or for any purpose not expressly permitted herein;

• reverse engineer, decompile, or disassemble the Carbon FlowApp;

• remove or obscure intellectual property notices;

• use the Carbon FlowApp to create a competing product;

• conduct penetration or vulnerability testing

User Accounts

• The Carbon Sink will issue accounts for Authorized Users.

• Customers are responsible for secure use and must notify The Carbon Sink of unauthorized activity.

Ownership; Reserved Rights

• The Customer retains ownership of its data.

• The Customer grants The Carbon Sink a global license to use such data to deliver services, including the creation of anonymized Aggregated Data.

Privacy

The Carbon Sink will process personal data in compliance with applicable laws and notify of data breaches without undue delay.

Confidentiality

• Confidential Information must only be used for permitted purposes and safeguarded against unauthorized disclosure.

Warranties and Disclaimers

The Carbon Sink warrants legal compliance but disclaims uninterrupted or error-free service. The Services are provided “as is.”

Limitation of Liability

• Liability is capped at the fees paid in the prior 12 months.

• No liability for indirect, consequential, or special damages.

Term and Termination

• Initial term of 1 year, auto-renewed unless notice is given 30 days prior.

• The Carbon Sink may terminate for cause or convenience.

• Upon termination, the Customer must cease using the Carbon FlowApp

General

• Notices via email or postal mail.

• Customer may not assign without consent. The Carbon Sink may.

• Entire agreement, superseding all prior discussions.

• The Carbon Sink may amend these terms by posting updates or notifying the Customer.

Estos términos de servicio (junto con cualquier formulario de pedido, adjunto, anexo o adenda, según se modifiquen con el tiempo, colectivamente el “Acuerdo”) constituyen un acuerdo entre el cliente (el “Cliente”) y The Carbon Sink, Inc. (“The Carbon Sink”), bajo el cual el Cliente accede y utiliza la aplicación de gestión de carbono de The Carbon Sink ofrecida como software como servicio (el “Carbon FlowApp“) y puede suscribirse a Servicios Adicionales (según se definen más adelante). Este Acuerdo entra en vigor en la fecha en que el Cliente empieza a usar cualquier parte del servicio SaaS o acepta estar obligado por este Acuerdo (la “Fecha Efectiva”). Tanto The Carbon Sink como el Cliente se denominarán individualmente “Parte” y colectivamente “Partes”.

Este Acuerdo establece los términos y condiciones que gobiernan la provisión y el uso de los Servicios.

AL USAR CARBON FLOWAPP (INCLUIDO EL SITIO WEB), EL CLIENTE RECONOCE QUE HA LEÍDO, ACEPTA Y SE OBLIGA A CUMPLIR LOS TÉRMINOS Y CONDICIONES ESTABLECIDOS EN ESTE ACUERDO, SUSCEPTIBLES DE MODIFICACIÓN DE ACUERDO A LA SECCIÓN 11(k). SI EL CLIENTE NO ACEPTA Y SE OBLIGA POR ESTE ACUERDO, DEBE CESAR DE FORMA INMEDIATA EL USO DE CARBON FLOWAPP. EL CLIENTE DECLARA Y GARANTIZA QUE TIENE LA CAPACIDAD PARA CELEBRAR ESTE ACUERDO LEGALMENTE VINCULANTE. SI USAS CARBON FLOWAPP EN REPRESENTACIÓN DE OTRA PERSONA, DECLARAS QUE TIENES AUTORIDAD PARA VINCULARLA A ESTE ACUERDO.

LOS SERVICIOS SaaS NO PUEDEN SER ACCEDIDOS CON FINES DE MONITOREO DE DISPONIBILIDAD, RENDIMIENTO O FUNCIONALIDAD, NI PARA OTRAS FINALIDADES DE BENCHMARKING O COMPETITIVAS.

Servicios SaaS de The Carbon Sink

• en violación de leyes aplicables;

• de modo que afecte su seguridad o funcionalidad; o

• para fines no permitidos expresamente en este Acuerdo;

Cuentas de usuario

• A solicitud, se emitirán cuentas (“Cuenta de Usuario del Cliente”) para cada UsuarioPermitido, quien debe usarlas exclusivamente.

• El Cliente es responsable de la autenticación, el uso permitido y debe notificar usos no autorizados. The Carbon Sink puede suspender cuentas sospechosas.

Propiedad; Derechos reservados

• El Cliente conserva la titularidad de todos sus datos (“Datos del Cliente”).

• El Cliente otorga a The Carbon Sink derechos globales no exclusivos para acceder, usar, procesar, retransmitir y anonimizar esos datos como parte de los servicios (“Datos Agregados”), los cuales quedan en propiedad de The Carbon Sink.

• The Carbon Sink retiene todos los derechos de propiedad intelectual sobre sus servicios, mejoras y modificaciones.

• El Cliente concede a The Carbon Sink una licencia universal y perpetua para usar cualquier sugerencia o retroalimentación que el Cliente proporcione.

Privacidad

The Carbon Sink tratará los datos personales conforme a la normativa aplicable y notificará al Cliente con prontitud en caso de violación de seguridad.

Confidencialidad

• Información confidencial debe utilizarse solo para fines permitidos, restringiéndose su divulgación según este Acuerdo.

• Se exceptúa la obligación si la ley exige revelación, siempre que se notifique al propietario.

Garantías y renuncias

The Carbon Sink garantiza el cumplimiento legal, pero no asegura que los servicios sean libres de errores o interrupciones. Se ofrecen “tal cual”, sin garantías implícitas.

Limitación de responsabilidad

• La responsabilidad total de The Carbon Sink no excederá los pagos realizados por el Cliente en los 12 meses anteriores al evento.

• No se cubrirán daños indirectos, lucro cesante, interrupciones comerciales, entreotros.

Plazo y terminación

• Vigencia inicial de 1 año, renovable automáticamente por períodos iguales salvoaviso con 30 días previos.

• The Carbon Sink puede terminar el Acuerdo por incumplimientos, insolvencia oconveniencia.

• Tras la terminación, el Cliente deberá cesar el uso de Carbon FlowApp y devolver cualquier propiedad de The Carbon Sink. Las obligaciones de pago sobreviven.

Disposiciones generales

• Notificaciones válidas por correo o email dirigidas según lo indicado en este Acuerdo.

• El Cliente no puede ceder el Acuerdo sin consentimiento. The Carbon Sink sí puede.

• Este Acuerdo constituye el acuerdo total, superando cualquier comunicación anterior.

• The Carbon Sink puede modificar unilateralmente estos términos mediante notificación o publicación.
